General Terms and Conditions
Any order for works implies the client's unconditional acceptance of the following general terms and the waiver of their own conditions, unless otherwise agreed upon in writing.
Article 1 - Validity. Our offer is valid for a period of 2 months for works to be carried out within 3 months of its signed acceptance by the client. Any order placed after this 3-month period from the day of our proposal must be confirmed by us. The client's signature on the estimate or order commits them firmly and definitively. The works are expressly limited to those specified in the offer, estimate, or order. Additional works as well as any eventual maintenance works will be subject to a complementary estimate accepted in advance.
Article 2 - Ownership of Estimates and Plans. Our estimates, drawings, plans, models, descriptions, and working documents remain our exclusive property. Their communication to other companies or third parties is prohibited and subject to damages. They must be returned if they are not followed by an order.
Article 3 - Deadlines. Delivery deadlines are provided for indicative purposes only unless otherwise specified on the estimate. We are released from any commitment regarding delivery deadlines in the event of:
Non-compliance with payment conditions by the client,
Delay in the submission of the execution order,
Modification of the work schedule,
Delay from other trades,
Additional works,
Premises to be fitted out not being made available to us on the scheduled date,
Force majeure or events such as: war, strike by the company or one of its suppliers, transportation hindrance, fire, weather conditions, or supplier stock shortage.
Article 4 - Execution Conditions. We are only obligated to start work within the deadlines provided in our offer. The installation of our structures can only be done after the completion of the designated spaces and after complete drying of masonry, plastering, and tiling. For carpenters: The stability of wood depends mainly on the humidity level of the premises in which the joinery is placed. We cannot be held responsible for deformations, warping, or shrinkage of wood due to variations in humidity levels.
Article 5 - Acceptance and Complaints. The works will be accepted no later than 15 days after their completion. In the absence of this acceptance within 30 days following the completion of the works, they will be considered accepted without reservation.
Article 6 - Payment. As our works are entirely made to order, unless otherwise indicated, payment is made as follows:
Upon order: 30%
At the start of work: 30%
Midway through the work: 30%
Balance upon completion of the works.
Article 7 - Suspension of Works. In case of non-compliance with payment conditions, the company reserves the right to suspend the works three days after informing the client to fulfill their obligations.
Article 8 - Penalty Clauses. In case of contract termination attributable to the client, before the completion of the ordered works, the deposit paid upon order will be retained as a lump sum indemnity. This amount will be added to the cost of materials and equipment already ordered. In case of contract termination during the execution of the works, a lump sum equal to 15% of the VAT-inclusive amount of the estimate or order will be invoiced in addition to the completed works. In accordance with Article L441-6 of the Commercial Code, late payment penalties are mandatory if the amounts due are paid after the payment date on the invoice. The rate of these late payment interests is 1% per month of delay. After formal notice, they accrue from the date of settlement and are calculated per month, with any started month being counted as a whole month.
Article 9 - Retention of Ownership. The delivered goods remain our property until full payment of the price. However, the risks are transferred upon delivery. In case of non-payment within the specified period, we reserve the right to take back the delivered goods and, if necessary, to terminate the contract.
Article 9 - Jurisdiction. In case of dispute, jurisdiction is granted to the courts of the registered office of our company.
